1. Acceptance of Terms

By accessing or using the Omnilo platform, website, and services (the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Services. These Terms constitute a legally binding agreement between you and Omnilo ("Omnilo," "we," "us").

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services. By creating an account, you represent and warrant that you meet these requirements. If you are using the Services on behalf of a company, you represent that you have authority to bind that entity to these Terms.

3. Account Registration

• You must provide accurate, complete, and current information during registration
• You are responsible for maintaining the security of your account credentials
• You must promptly notify us of any unauthorized access or breach
• One person or entity may not maintain more than one free account
• We reserve the right to suspend or terminate accounts that violate these Terms

4. Subscription Plans & Billing

Omnilo offers various subscription plans with different features and limitations. By subscribing to a paid plan:

• You authorize us to charge the applicable fees to your payment method
• Subscriptions renew automatically unless cancelled before the renewal date
• Plan upgrades take effect immediately; downgrades take effect at the next billing cycle
• Prices are subject to change with at least 30 days' prior notice
• All fees are non-refundable except as stated in our Refund Policy

5. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or to violate any laws
• Send unsolicited messages (spam) or violate anti-spam regulations
• Transmit malware, viruses, or other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse-engineer, decompile, or disassemble any part of the Services
• Use the platform to harass, abuse, or harm others
• Resell access to the Services without written authorization

6. Intellectual Property

All content, features, and functionality of the Services — including text, graphics, logos, icons, and software — are owned by Omnilo and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

You retain ownership of all data and content you upload to the platform ("Your Content"). By uploading, you grant Omnilo a limited, non-exclusive license to host and process Your Content solely for the purpose of providing the Services.

7. Data & Privacy

Your use of the Services is also governed by our Privacy Policy. You acknowledge that you have read and understood our data practices. You are responsible for ensuring your use of the Services complies with applicable data protection laws (e.g., GDPR, CCPA) with respect to your customers' data.

8. Service Availability & Modifications

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Services at our discretion. We will provide reasonable notice for material changes. Scheduled maintenance will be communicated in advance whenever possible.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMNILO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Omnilo, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorney fees) arising from your use of the Services, violation of these Terms, or infringement of any third party's rights.

11. Termination

Either party may terminate this agreement at any time. You may cancel your subscription from your account settings. We may suspend or terminate your access for violation of these Terms with or without notice. Upon termination, your right to use the Services ceases, and we may delete your data after 30 days.

12. Governing Law

These Terms shall be governed by the laws of the State of Missouri, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Cass County, Missouri.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or in-app notification at least 30 days in advance. Continued use after changes constitutes acceptance of the updated Terms.
